The organizational arrangements for the National Center for Inspection and Control, approved by the Council of Ministers, included setting the necessary policies, plans and programs to coordinate inspection and oversight work between government agencies, unifying what is possible of them, and removing what requires completing procedures in this regard.

The Center’s Council will be the supreme authority and will be responsible for supervising, managing and managing its affairs. It may take the necessary decisions and actions to achieve its goals and exercise its powers within the limits of the provisions of the organizational arrangements.

Details of the arrangements are as follows:

Article One:

The following words and expressions – wherever they appear in these arrangements – will have the meanings indicated next to each of them, unless the context requires otherwise:

Centre: The National Center for Inspection and Control.

Organizational arrangements: The organizational arrangements of the centre.

Council: The Centre’s Board of Directors.

President: Chairman of the Council.

CEO: The CEO of the Centre.

Inspection and oversight: a field visit to verify individuals and private sector establishments’ compliance with the rules, regulations, instructions, and requirements, as well as the processes of controlling and reporting violations.

Governmental agencies: Ministries, agencies and similar bodies with an independent public legal personality authorized by law to carry out inspection and oversight tasks and responsibilities.

second subject:

The Center has an independent legal personality, financial and administrative independence, is organizationally linked to the Council of Ministers, and is headquartered in the city of Riyadh. It may establish branches and affiliated offices within the Kingdom as needed.

Article Three:

The center aims to coordinate inspection and oversight efforts among government agencies, and to discuss unifying what is possible of them, in a way that increases the efficiency of inspection and oversight activities, and improves the compliance rates of individuals and commercial establishments with laws, regulations, and instructions.

Article Four:

Without prejudice to the powers of the relevant government agencies, in order to achieve its objectives, the Center may exercise – in cooperation with the relevant government agencies, each within its jurisdiction – the following powers:

1- Develop the necessary policies, plans and programs to coordinate inspection and oversight work between government agencies, unify what is possible of them, and eliminate what requires completing procedures in this regard.

2- Reviewing the rules, regulations, instructions and requirements related to inspection and control work, proposing the necessary amendments thereto, and removing anything that requires completing procedures in this regard.

3- Determine the areas of inspection and control that can be unified, determine the target geographical scope for unifying inspection and control work, and consider expanding the scope of unifying work or modifying it in agreement with the relevant government agencies.

4- Setting goals and plans to unify inspection and control work, supervising their implementation, and evaluating the results of implementing unification of inspection and control work.

5- Adopting unified tools, forms, guidelines, and checklists for unified inspection and control work.

6- Reviewing the mechanism for forming committees to consider objections to violations, their work procedures and tasks, proposing the necessary amendments regarding them, and submitting the proposed amendments to complete the followed legal procedures.

7- Prepare joint plans and campaigns with relevant government agencies, periodically, to raise awareness among individuals and private sector establishments in order to raise compliance rates with rules, regulations, instructions and requirements.

8- Establishing the necessary controls and procedures that guarantee transparency and integrity in the work of observers in unified inspection and oversight activities.

9- Qualification and licensing of private sector companies that carry out inspection and control work.

10- Conducting research and studies on topics related to the center’s objectives.

11- Holding and organizing forums, conferences and forums related to inspection and oversight work, and participating in them, in accordance with the established legal procedures.

12- Cooperating and exchanging experiences with regional and international bodies and organizations, within the limits of the Centre’s jurisdiction, and in accordance with the established regulatory procedures.

13- Collecting information and statistics related to the center’s field of work, using them to develop inspection and oversight work, and publishing the information or statistics that the center determines.

Article Five:

The center will have a board of directors headed by the Minister of Municipal and Rural Affairs and Housing, with membership of:

1- A representative from the Ministry of Interior (General Directorate of Civil Defense).

2- A representative from the Ministry of Municipal, Rural Affairs and Housing.

3- A representative from the Ministry of Commerce.

4- A representative from the Ministry of Human Resources and Social Development.

5- A representative from the Ministry of Finance.

6- A representative from the Ministry of Tourism.

7- A representative from the Ministry of Investment.

8- A representative from the Saudi Food and Drug Authority.

9- A representative from the Saudi Data and Artificial Intelligence Authority.

10- CEO.

The rank of representatives of government agencies in the Council must not be less than (fourteenth) or its equivalent.

Article Six:

The Council is the highest authority for the Centre. It is responsible for supervising, managing and managing its affairs. It may take the necessary decisions and actions to achieve its objectives and exercise its powers within the limits of the provisions of the organizational arrangements. In particular, it has the following:

1- Approving the necessary policies, plans and programs to coordinate inspection and oversight work between government agencies, unifying what is possible of them, and eliminating what requires completing procedures in this regard.

2- Proposing draft regulations related to the Center’s objectives and powers, and proposing to amend the applicable ones in preparation for submitting them to complete the regulatory procedures in their regard.

3- Approving the center’s general policies, its work plan, and its operational plans, which it follows to achieve its objectives, reviewing them, and following up on their implementation.

4- Approval of the center’s organizational structure.

5- Approval of the administrative and financial regulations by which the Center operates and other internal and technical regulations necessary to manage its affairs, provided that the approval of the administrative regulations is in agreement with the Ministry of Human Resources and Social Development, and the approval of the financial regulations and provisions that have a financial impact in other regulations is in agreement with the Ministry of Finance.

6- Approval of the financial compensation for the services provided by the center.

7- Approval to establish branches and offices of the center within the Kingdom.

8- Approval of the Center’s draft annual budget, approval of its final accounts, its auditor’s report, and its annual report; In preparation for submitting it in accordance with the established regulatory procedures.

9- Reviewing the periodic reports submitted on the progress of work at the center, and progress in plans to unify inspection and oversight work among government agencies.

10- Accepting gifts, donations, grants, wills and endowments presented to the centre, in accordance with the provisions regulating this.

11- Appointing an external auditor (or more) and an internal financial controller.

12- Approval of concluding agreements and contracts in accordance with the established legal procedures.

13- Approving the controls for the Center’s use of local and international expertise and consulting offices for studies and research.

The Council may delegate some of its powers to the President or any of its members or employees of the Centre.

Article Seven:

The Council may form permanent or temporary committees from its members or others, to which it assigns whatever tasks it deems appropriate. The decision to form each committee shall specify its chairman, members, remuneration, and powers. These committees may seek assistance from whomever they deem fit to perform the tasks assigned to them.

Article Eight:

1- Council meetings shall be held at the Center’s headquarters under the chairmanship of the President or a representative of government agencies whom he deputizes, and may, when necessary, be held in another location within the Kingdom.

2- The Council meets – based on an invitation from its Chairman – once every (three) months, and whenever the need arises according to the Chairman’s discretion. The President must invite the Council to a meeting if at least (one-third) of its members so request. The invitation to the meeting must be sent – in writing – at least (seven) days before the meeting, provided that the invitation includes the meeting’s agenda.

3- The Council meeting shall not be considered valid unless attended by at least a majority of the members, including the Chairman or his representative.

4- The Council’s decisions shall be issued by a majority of the votes of the members present, and in the event of equal votes, the side with which the Chairman of the meeting voted shall prevail.

5- Council meetings may be held remotely, and decisions may be taken by passing them on to the members, and they sign them indicating that they have been informed of them. The decisions taken in this way are not considered valid unless all members vote on them, and they are approved by at least two-thirds of the members. The decisions taken in this way are presented to the Council at the first – and subsequent – meeting to be recorded in the minutes of the meeting.

6- The Council’s deliberations and decisions are recorded in minutes signed by the chairman of the meeting and the attending members. The objecting member may record his objection with reasons in the minutes.

7- No member of the Council may abstain from voting, nor authorize another member to vote on his behalf in his absence.

8- The Council may invite whomever it sees fit among the specialists and advisors – whether from inside or outside the Kingdom – to attend its meetings and seek their assistance, without them having the right to vote.

9- The Secretary of the Council shall prepare for the Council’s meetings, inform its members of their dates, prepare their minutes and decisions, and any tasks assigned to him by the Council or the President.

Article Nine:

The center will have an executive president who will be appointed and removed from his position by a decision of the council, in which his remuneration and other financial benefits will be determined. He will be the executive responsible for managing the center and its daily work. In particular, he has the following powers:

1- Proposing the necessary policies, plans and programs to coordinate inspection and oversight work between government agencies, and unifying what is possible of them, without prejudice to the powers assigned to other government agencies, in preparation for submitting them to the Council.

2- Proposing the centre’s general policies, work plan and operational plans, submitting them to the Council and following up on their implementation after approval.

3- Proposing the structure of the organizational center, its administrative, financial, internal and technical regulations, procedures, rules and standards necessary to conduct its work, and submitting them to the Council for approval.

4- Supervising the progress of work at the center, in accordance with the approved rules, regulations, plans and programmes.

5- Issuing the necessary decisions to implement what is required by the approved organizational arrangements, regulations, rules and procedures, according to the powers delegated to him.

6- Supervising the preparation of the Centre’s draft budget, its annual report, and its final accounts, in preparation for presenting them to the Council.

7- Appointing workers at the center in accordance with what is specified by the center’s regulations.

8- Contracting with experts, consultants, and think tanks from inside or outside the Kingdom to serve the Center’s objectives and competencies, in accordance with what is determined by the Center’s regulations and the legal procedures followed.

9- Signing agreements, contracts and other documents, after the approval of the Council and in accordance with the established legal procedures.

10- Representing the Center before the judicial and administrative authorities and other authorities inside and outside the Kingdom. He may authorize others to do so.

11- Disbursing from the Center’s budget, and taking all financial measures in accordance with the approved rules and regulations, and within the limits of the powers delegated to it by the Council.

12- Submitting periodic reports to the Council on the Centre’s work, achievements and activities.

13- What powers or other powers are assigned to him by the Council.

The CEO may delegate some of his powers and powers to whomever he deems appropriate among the center’s employees, in accordance with what is determined by the center’s regulations.

Article 10:

1- The center shall have an independent annual budget.

2- The center’s fiscal year is the state’s fiscal year. As an exception to this, the first fiscal year begins from the date of approval of the regulatory arrangements, and ends at the end of the state’s next fiscal year.

Article Eleven:

1- The center’s financial resources consist of the following:

A- What is allocated to it in the state’s general budget.

B- The financial compensation he receives for the work and services he provides.

C- Gifts, donations, grants, wills and endowments accepted by the Council.

D- Any other resource approved by the Council that does not violate regulations and instructions.

2- The Center’s funds are deposited in the Ministry of Finance’s current account at the Central Bank of Saudi Arabia.

3- The center opens an account at the Central Bank of Saudi Arabia. He may open other accounts in any of the banks licensed to operate in the Kingdom, and disburse from these accounts from the Center’s approved budget in accordance with its financial and administrative regulations.

Article Twelve:

The center’s employees are subject to the provisions of the labor system and the social insurance system.

Article Thirteen:

Without prejudice to the authority of the General Auditing Bureau to monitor the Center’s accounts and operations, the Council shall appoint one (or more) external auditors from persons of natural or legal capacity licensed to work in the Kingdom. To audit the center’s accounts, transactions, data, and final account. The Council determines its fees, submits the auditor’s report to the Council for approval, and then provides the General Auditing Office with a copy of it.

Article Fourteen:

1- The Council shall prepare the draft organization of the center in light of what is stated in the organizational arrangements and what may appear to it in this regard, and submit it to complete the necessary regulatory procedures in this regard, within a period not exceeding (eighteen) months from the date of approval of the organizational arrangements.

2- The Council reviews the regulations, orders, royal decrees, decisions and instructions related to its powers in light of what is included in the organizational arrangements, proposes what is necessary in this regard, and submits its findings within (sixty) days from the date of approval of the organizational arrangements.

Article fifteen:

The organizational arrangements shall be published in the Official Gazette and shall be effective from the date of their publication.
